1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the Primelane mobile application and related services (collectively, the "Platform"), operated by [Primelane Enterprises Limited], a company registered in Nigeria with registration number [RC 9020431] ("Primelane", "we", "us", or "our").

By creating an account, accessing, or using the Platform, you ("you", "your", the "Rider") confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Platform.

2. Definitions

In these Terms: "Customer" means a person who requests or receives transportation services through the Platform. "Driver" means a driver engaged by Primelane to provide transportation services to Customers. "Booking" means a journey booked through the Platform, whether airport transfer or daily rentals. "Wallet" means the in-app balance feature used to fund and pay for services. "Fees" means all charges payable for use of the Platform, including fares and any applicable booking, waiting, or cancellation fees.

3. Eligibility

To use the Platform you must be at least 18 years old and capable of entering into a legally binding contract under Nigerian law. You must provide accurate information during sign-up and keep it up to date. You are responsible for all activity that occurs under your account.

4. Account Registration and Verification

You may create an account manually. Registration requires a valid phone number, which we verify using a one-time password (OTP) sent via SMS.

Your account becomes active only once your phone number is verified. We may require additional identity verification, including submission of a valid government-issued ID, before you can access certain services. You agree that the information and documents you provide are genuine, accurate, and belong to you.

You are responsible for maintaining the security of your account and for any access obtained through your verified device. You will remain logged in until you manually log out or uninstall the app.

5. Nature of the Service

Primelane provides transportation services to Customers through the Platform, using drivers engaged by Primelane. When you book a Trip, Primelane arranges for one of its Drivers to provide that Trip.

We take reasonable steps to ensure our Drivers and vehicles meet our standards. While we strive to provide a safe and reliable service, your use of any Trip remains subject to the liability provisions in these Terms.

6. Bookings

You may book airport transfer or daily rental Trips in advance, subject to availability. When you confirm a booking, Primelane will assign a Driver to provide your Trip.

The Fee for your Trip is the fare shown and confirmed at the time of booking. This Fee is fixed and will not change at the end of your Trip, except where you book a daily rental and use the vehicle beyond the booked period, in which case additional charges for the extra time will apply at the rate disclosed in the app. Any other applicable charges are set out in Section 8.

7. Rider Preferences and Conduct

You may set optional ride preferences (such as conversation, music, temperature, and seating). Drivers will make reasonable efforts to accommodate preferences but cannot guarantee them.

You agree to treat Drivers and their vehicles with respect, to comply with applicable law during Trips, and not to use the Platform for any unlawful, fraudulent, or abusive purpose. You are responsible for any damage you cause to a vehicle beyond normal use.

8. Fees and Charges

The Fee for each Trip is fixed at the time of booking and is shown to you before you confirm. Where you book a daily rental, additional charges may apply if you use the vehicle beyond your booked period, calculated at the extra-time rate disclosed in the app.

Other charges, such as a cancellation fee, may apply in the circumstances described in these Terms and as disclosed in the app at the relevant time. The fee structure in effect at the time of your booking applies. We may update our Fees from time to time, and changes will be reflected in the app for future bookings. Applicable taxes may be added where required by law.

9. Payment, Wallet, and Automatic Debit

You may pay for services using the payment methods available in the app, including your in-app Wallet. You are responsible for ensuring sufficient funds or a valid payment method to cover your Fees.

Where a Fee remains unpaid after a Trip, including extra-time charges on a daily rental, you authorise us to automatically attempt to debit the outstanding amount from your Wallet or your registered payment method. By using the Platform, you give us standing authorisation to recover any outstanding Fees in this way.

We are not responsible for charges, fees, or losses imposed by your bank or payment provider in connection with payments or failed debit attempts.

10. Outstanding Fees and Account Suspension

If a Fee cannot be recovered, your account may be temporarily suspended until the outstanding balance is cleared. While suspended, you may be unable to book new Trips or access certain features. Once the outstanding amount is paid in full, your access will be restored.

We will notify you of any outstanding balance and suspension. You remain liable for unpaid Fees regardless of suspension, and we reserve the right to pursue recovery of unpaid amounts through lawful means.

11. Cancellations

You may cancel a booking through the app. Depending on the timing of your cancellation and the type of booking, a cancellation fee may apply, as disclosed in the app at the relevant time.

12. Coupons and Promotional Codes

We may from time to time offer coupons or promotional codes. Each code is subject to its own conditions, including validity period, eligibility, and the services or booking types to which it applies. A code will only be applied where it is valid, has not expired, and applies to the booking you are making. Codes have no cash value, cannot be exchanged for cash, and may be withdrawn or amended at any time. We may decline or reverse a discount where a code is used in error, fraudulently, or outside its conditions.

13. Communications

By using the Platform, you consent to receive operational communications from us, including OTPs and booking and payment notifications, via SMS, WhatsApp, email, or in-app messaging. The Platform also enables in-app communication between you and your Driver for the purpose of completing a Trip. You should not use these channels for any unlawful or abusive purpose.

14. Data Protection and Privacy

We collect and process personal data, including your contact details, identity verification information, location data, and payment information, in order to provide the Platform. We process this data in accordance with the Nigeria Data Protection Act 2023 and our Privacy Policy, which forms part of these Terms.

By using the Platform, you consent to the collection and processing of your personal data as described in the Privacy Policy. You have rights in relation to your personal data, including rights of access and correction, as set out in that policy and under applicable law.

15. Intellectual Property

The Platform, including its software, design, branding, and content, is owned by or licensed to Primelane and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the app for its intended purpose. You may not copy, modify, reverse-engineer, or create derivative works from the Platform.

16. Limitation of Liability

To the maximum extent permitted by law, Primelane's liability arising from your use of the Platform is limited as set out in this section. We do not guarantee uninterrupted or error-free operation of the Platform or the availability of Drivers at any given time.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Nigerian law, including liability for death or personal injury caused by negligence. Where our liability cannot be excluded, it is limited to the maximum extent permitted by law.

17. Indemnity

You agree to indemnify and hold Primelane harmless from any claims, losses, or liabilities arising from your breach of these Terms, your misuse of the Platform, or your violation of any law or the rights of any third party.

18. Suspension and Termination

We may suspend or terminate your account if you breach these Terms, fail to pay outstanding Fees, provide false information, or use the Platform unlawfully. You may stop using the Platform at any time. Provisions relating to payment, liability, and data protection survive termination.

19. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify you through the app or by other reasonable means. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms or the Platform will be subject to [the exclusive jurisdiction of the courts of Nigeria / resolution by arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023].
